Explanatory Notes

Clause 1 adds a heading that makes the existing Partnership Act Part I of the Act.

Clause 2 adds to the Partnership Act a new Part II dealing with limited liability partnerships.

Clause 3 adds definitions of "Nova Scotia LLP" and "extra-provincial LLP" to the Partnerships and Business Names Registration Act.

Clause 4 amends the Partnerships and Business Names Registration Act to require extra-provincial limited liability partnerships to comply with that Act.

Clause 5 excepts limited liability partnerships from the general declaration filing requirement under the Partnerships and Business Names Registration Act.

Clause 6 makes it clear that Section 6 of the Partnership and Business Names Registration Act applies to a declaration made under Section 5 of the Act.

Clause 7 makes it clear that Section 7 of the Partnership and Business Names Registration Act applies to a declaration made under Section 5 of the Act.

Clause 8 adds provisions dealing with the registration of limited liability partnerships to the Partnerships and Business Names Registration Act.

Clause 9 adds provisions dealing with the cancellation of the registration of limited liability partnerships.

Clause 10 adds a power permitting the Governor in Council to make regulations under the Partnership and Business Names Registration Act.

Clause 11 provides that this Act comes into force on proclamation.

An Act to Amend Chapter 334
of the Revised Statutes, 1989,
the Partnership Act, and
Chapter 335 of the Revised Statutes, 1989,
the Partnerships and Business
Names Registration Act

Be it enacted by the Governor and Assembly as follows:

1 Chapter 334 of the Revised Statutes, 1989, the Partnership Act, is amended by adding the heading "PART I" immediately before Section 3.

2 Chapter 334 is further amended by adding immediately after Section 47 the following heading and Sections:

PART II

3 Section 2 of Chapter 335 of the Revised Statutes, 1989, the Partnerships and Business Names Registration Act, is amended by

(a) relettering clause (a) as (ab); and

(b) adding immediately before clause (ab) the following clauses:

4 Subsection 2A(2) of Chapter 335, as enacted by Chapter 34 of the Acts of 1993, is amended by adding "or an extra-provincial LLP" immediately after "proprietorship" in the second and third lines.

5 Section 5 of Chapter 335, as amended by Chapter 4 of the Acts of 1999, is further amended by adding "to a partnership, other than a Nova Scotia LLP or an extra-provincial LLP," immediately after "issued" in the first line.

6 Section 6 of Chapter 335 is amended by striking out "such declaration" in the first line and substituting "the declaration required under Section 5".

7 Section 7 of Chapter 335 is amended by adding "required under Section 5" immediately after "declaration" in the third line.

8 Chapter 335 is further amended by adding immediately after Section 7 the following Sections:

9 Chapter 335 is further amended by adding immediately after Section 16 the following Section:

10 Chapter 335 is further amended by adding immediately after Section 24 the following Section:

11 This Act comes into force on such day as the Governor in Council orders and declares by proclamation.
