An Act to Amend Chapter 65
of the Acts of 1978,
An Act Respecting the Ladies
of the Sacred Heart at Halifax

Be it enacted by the Governor and Assembly as follows:

1 Section 1 of Chapter 65 of the Acts of 1978, An Act Respecting the Ladies of the Sacred Heart at Halifax, is amended by

(a) striking out clause (a) and substituting the following clause:

(a) "Congregation" means the Society of the Sacred Heart of Jesus, province of the United States-Canada, which includes the former provinces of Canada and United States, an Apostolic Institute of Pontifical Right, or its successor, pursuant to the canon laws of the Roman Catholic Church, as amended from time to time;

(b) striking out the period at the end of clause (b) and substituting a semicolon; and

(c) adding immediately after clause (b) the following clause:

(c) "member" means an individual who has taken vows in the Congregation and who is admitted by the Provincial Superior of the Congregation.

2 Section 6 of Chapter 65 is repealed and the following Sections substituted:

6 The rights and powers of the Corporation shall be exercised by a board of directors consisting of the Provincial Superior of the Congregation as President and such other directors as may be elected by the members.

6A The Corporation has, subject to this Act and any applicable laws of the Province, the capacity, rights, powers and privileges of a natural person in addition to any other powers it has under this Act.

3 Chapter 65 is further amended by adding immediately after Section 9 the following Section:

9A (1) Subject to subsection (2), the Corporation may by continuance export its corporate existence to such jurisdiction as may permit the Corporation, once continued, to be subject to the laws of such successor jurisdiction and, once continued, the laws of the Province cease to apply to the Corporation.

(2) Subsection (6) of Section 133 of the Companies Act applies mutatis mutandis to the Corporation.
